Terms & Conditions

1. Acceptance of terms

By engaging Transients Engineering Services (TES) for electrical, civil, structural or mechanical works, or by requesting a quotation, you agree to be bound by these Terms & Conditions as they stand at the date of engagement.

Where a signed contract or works order exists for a specific project, the terms of that document take precedence over this page to the extent of any conflict.

2. Scope of services

TES provides engineering design, fabrication, installation, testing and commissioning across the service lines described on this site, from low-voltage installations to 33 kV powerline construction. The precise scope of any project is defined in the relevant proposal, drawing set and works order.

Work outside an agreed scope — variations, additional plant, or changes requested on site — will be quoted and authorised in writing before it is carried out.

3. Quotations & pricing

Quotations are valid for the period stated on the document and are based on the information available at the time of pricing. Material costs, exchange-rate movements and site conditions discovered after award may require a revised price, which will be agreed before works proceed.

Unless stated otherwise, prices exclude applicable taxes and statutory utility connection charges. Payment terms are set out in the accepted proposal.

4. Liability

TES carries out all works to the relevant engineering standards and warrants that its installations are delivered with reasonable skill and care. To the extent permitted by law, our liability is limited to the value of the works concerned and does not extend to indirect or consequential loss.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for any matter that cannot lawfully be excluded.

5. Intellectual property

Design drawings, single-line diagrams, load schedules and other documentation prepared by TES remain our intellectual property until the relevant works are paid for in full, after which a licence to use them for the operation and maintenance of the installation passes to the client.

These materials may not be reproduced for use on other projects, or shared with third parties, without our written consent.

6. Governing law

These Terms & Conditions, and any engagement of TES, are governed by and construed in accordance with the laws of the Republic of Uganda. The courts of Uganda have jurisdiction over any dispute arising from them.
